1. SCOPE

This Privacy Policy applies to personal information processed by us, including on the goop Kitchen website located at www.goopkitchen.com (the “Website(s)), on our goop Kitchen mobile applications (the “App(s)”), and any other online services or programs owned or operated by us where this Privacy Policy is posted or linked. To make this Privacy Policy easier to read, our Websites, Apps, and other offerings are collectively called “Service(s).”

Employees and Job Applicants. This Privacy Policy does not apply to the personal information we collect from employees, contractors, job applicants, owners, directors or officers of the goop Kitchen. If you are applying for a job with us, please see our Applicant and Worker Privacy Notice.

Third-Party Links. The Services may contain links to other websites/applications and other websites/applications may reference or link to our Services. These third-party services are not controlled by us. We encourage our users to read the privacy policies of each website and application with which they interact. We do not endorse, screen or approve, and are not responsible for, the privacy practices or content of such other websites or applications. Providing personal information to third-party websites or applications is at your own risk.

2. PERSONAL INFORMATION WE COLLECT

The categories of personal information we collect depend on how you interact with us, our Services, and the requirements of applicable law. The definition of personal information may depend on the applicable law based on your place of residence or physical location, but for purposes of this Privacy Policy, personal information generally is any information that identifies or makes a unique individual identifiable. We collect personal information that you provide to us, we obtain automatically when you use our Services, and from other sources such as third-party services and organizations, as described below. 

A. Personal Information You Provide to Us Directly

We may collect the following personal information that you provide to us.

• Account Creation. We may collect information when you create an account, such as name, date of birth, email address, telephone number, and physical address.

• Purchases. We may collect personal information and details associated with your purchases, including payment information. Any payments made via our Services are processed by third-party payment processors. We do not directly collect or store any payment card information entered through our Services, but we may receive information associated with your payment card information (e.g., your billing details).

• Your Communications with Us. We may collect personal information, such as email address, phone number, or mailing address when you request information about our Services, register for our newsletter or loyalty program, request customer or technical support, apply for a job, or otherwise communicate with us.

• Surveys. We may contact you to participate in surveys. If you decide to participate, you may be asked to provide certain information which may include personal information.

• Interactive Features. We and others who use our Services may collect personal information that you submit or make available through our interactive features (e.g., messaging and chat features, commenting functionalities, forums, blogs, and social media pages). • Sweepstakes or Contests. We may collect personal information you provide for any sweepstakes or contests that we offer. In some jurisdictions, we are required to publicly share information of sweepstakes and contest winners.

• Conferences, Trade Shows, and Other Events. We may collect personal information from individuals when we attend conferences, trade shows, and other events. 

• Business Development and Strategic Partnerships. We may collect personal information from individuals and third parties to assess and pursue potential business opportunities. 

B. Information Collected Automatically 

We may collect the following personal information automatically when you use our Services.

• Usage Data. We may collect certain usage data automatically when you use our Services, such as your Internet protocol (IP) address, user settings, MAC address, cookie identifiers, mobile carrier, mobile advertising and other unique identifiers, browser or device information, location information (including approximate location derived from IP address), and Internet service provider. We may also automatically collect information regarding your use of our Services, such as pages that you visit before, during and after using our Services, information about the links you click, the types of content you interact with, the frequency and duration of your activities, and other information about how you use our Services. In addition, we may collect information that other people provide about you when they use our Services, including information about you when they tag you.

• Location Information. We may collect precise location information, such as the location of your mobile device using location awareness technologies such as GPS, Wi-Fi, Bluetooth or cell tower proximity. goop Kitchen uses this information for location-based services that you request such as locating nearby goop Kitchen restaurants or identifying special offers that may be of interest to you or personalizing your interactions with goop Kitchen.

• Cookies, Pixel Tags/Web Beacons, and Other Technologies. We, as well as third parties that provide content, advertising, or other functionality on our Services, may use cookies, pixel tags, local storage, and other technologies (“Technologies”) to automatically collect information through your use of our Services.

• Cookies. Cookies are small text files placed in device browsers that store preferences and facilitate and enhance your experience.

• Pixel Tags/Web Beacons. A pixel tag (also known as a web beacon) is a piece of code embedded in our Services that collects information about engagement on our Services. The use of a pixel tag allows us to record, for example, that a user has visited a particular web page or clicked on a particular advertisement. We may also include web beacons in e-mails to understand whether messages have been opened, acted on, or forwarded.

Our uses of these Technologies fall into the following general categories:

Your interactions with these platforms are governed by the privacy policy of the company providing it.

C. Information Collected from Other Sources

We may obtain information about you from other sources, including through third-party services and organizations. For example, if you access our Services through a third-party application, such as an app store, a third-party login service, or a social networking site, we may collect information about you from that third-party application that you have made available via your privacy settings.

3. HOW WE USE YOUR INFORMATION

We may use your personal information for a variety of business purposes, including to provide our Services, for administrative purposes, to market our products and Services, for our legal and compliance purposes, or for other purposes as described below.

A. Provide Our Services

We may use your personal information to fulfil our contract with you and provide you with our Services, such as:

• Registering you for an account, including a Rewards or other loyalty program account, and managing and maintaining your account;

• Administering surveys, contests, sweepstakes, or other promotions through our Services or through social media;

• Providing you with products and services you request;

• Answering requests for customer or technical support; 

• Communicating with you about your account, activities on our Services, and policy changes;

• Processing your financial information and other payment methods for products or Services purchased;

• Processing applications if you apply for a job we post on our Services; and

C. Marketing and Advertising our Products and Services

We may use personal information to tailor and provide you with content and advertisements. We may provide you with these materials as permitted by applicable law. 

Some of the ways we market to you include email campaigns, custom audiences advertising, and “interest-based” or “personalized advertising,” including through cross-device tracking.

If you decide not to receive promotional emails, we may still send you service-related communications. If you sign up to our messaging to receive text messages from us that contain promotional information, you can opt-out of receiving future messages by replying “STOP.”

Please note that “unsubscribe” requests may not take effect immediately and may take a reasonable amount of time to receive, process, and apply, during which time your information shall remain subject to this Privacy Policy. Additionally, you should be aware that any information provided to third-parties prior to your election to unsubscribe will not be retrieved or rescinded, unless required by applicable law.

D. Legal and Compliance

We may use your personal information for legal and compliance purposes, such as to:

• Comply with our legal or regulatory obligations, to establish or exercise our rights, and to defend against a legal claim;

• Enforce compliance with our terms, agreements and policies, such as the Terms that you are bound to when you access or use our Services, or other legal rights, including those arising from any contracts entered into between you and us, including for billing and collection;

• facilitate corporate acquisitions, mergers, sales, bankruptcy, and other transactions.

E. Other Purposes

We also use your information for other purposes as requested by you or as permitted by applicable law.

• Consent. We may use personal information for other purposes that are clearly disclosed to you at the time you provide personal information or with your consent.

• De-identified and Aggregated Information. We may use personal information and other information about you to create de-identified and/or aggregated information, such as de-identified demographic information, de-identified location information, information about the device from which you access our Services, or other analyses we create.

• Share Content with Friends or Colleagues. Our Services may offer various tools and functionalities. For example, we may allow you to provide information about your friends through our referral services. Our referral services may allow you to forward or share certain content with a friend or colleague, such as an email inviting your friend to use our Services. Please only share with us contact information of people with whom you have a relationship (e.g., relative, friend neighbor, or co-worker).

4. HOW WE DISCLOSE YOUR INFORMATION

We may disclose your personal information to third parties for a variety of business purposes, including to provide our Services, to protect us or others, or in the event of a major business transaction such as a merger, sale, or asset transfer, as described below.

A. Disclosures to Provide our Services

• Service Providers. We may share your personal information with our third-party service providers who use that information to help us provide our Services. This includes service providers that provide us with IT support, hosting, payment processing, customer service, and related services.

• Affiliates. We may share your personal information with our company affiliates for our administrative purposes, including activities such as IT management, for them to provide services to you or support and supplement the Services we provide. 

• Advertising Partners. We may share your personal information with third-party advertising partners. These third-party advertising partners may set Technologies and other tracking tools on our Services to collect information regarding your activities and your device (e.g., your IP address, cookie identifiers, page(s) visited, location, time of day). These advertising partners may use this information (and similar information collected from other services) for purposes of delivering personalized advertisements to you when you visit digital properties within their networks. This practice is commonly referred to as “interest-based advertising” or “personalized advertising.”

• Professional Advisors. We may disclose your personal information to our professional advisors—including lawyers, auditors, accountants, insurers, and similar consultants—when such disclosure is necessary for them to provide us with their professional services, to comply with our legal or financial obligations, or to protect or enforce our rights.

B. Disclosures for Legal Compliance and Safety

We may access, preserve, and disclose any personal information we store associated with you to external parties if we, in good faith, believe doing so is required or appropriate to: comply with law enforcement or national security requests and legal process, such as a court order or subpoena; protect your, our, or others’ rights, property, or safety; enforce our policies or contracts; collect amounts owed to us; or assist with an investigation or prosecution of suspected or actual illegal activity.

C. Disclosure in the Event of Merger, Sale, or Other Asset Transfers

If we are involved in a merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, purchase or sale of assets, or transition of service to another provider, your personal information may be sold or transferred as part of such a transaction, as permitted by law and/or contract. We may also disclose personal information with prospective purchasers to evaluate the proposed transaction.

5. YOUR CHOICES

Your Privacy Choices. The privacy choices you may have about your personal information are determined by applicable law and are described below. 

• Email and Telephone Communications. If you receive an email from us and would prefer not to, you can use the unsubscribe link found at the bottom of the email to opt out of receiving future emails. Note that you will continue to receive transaction-related emails regarding products or Services you have requested. We may also send you certain non-promotional communications regarding us and our Services, and you will not be able to opt out of those communications (e.g., communications regarding our Services or updates to our Terms or this Privacy Policy). We process requests to be placed on do-not-mail, do-not-phone, and do-not-contact lists as required by applicable law.

• Text Messages. You may opt out of receiving text messages from us by following the instructions in the text message you have received from us (such as by replying “STOP”) or by otherwise contacting us.

• Mobile Devices. We may send you push notifications through our mobile application. You may opt out from receiving these push notifications by changing the settings on your mobile device. With your consent, we may also collect precise location-based information via our mobile application. You may opt out of this collection by changing the settings on your mobile device.

• “Do Not Track.” Do Not Track (“DNT”) is a privacy preference that users can set in certain web browsers. Please note that we do not respond to or honor DNT signals or similar mechanisms transmitted by web browsers.

Cookies and Interest-Based Advertising. You may stop or restrict the placement of Technologies on your device or remove them by adjusting your preferences as your browser or device permits. However, if you adjust your preferences, our Services may not work properly. Please note that cookie-based opt-outs are not effective on mobile applications. However, you may opt-out of personalized advertisements on some mobile applications by following the instructions for Android, iOS and others.

The online advertising industry also provides websites from which you may opt out of receiving targeted ads from data partners and other advertising partners that participate in self-regulatory programs. 6. PRIVACY RIGHTS

Your Privacy Rights. For individuals in the United States, depending on applicable law where you reside or are located, you may be able to assert certain rights identified below with respect to your personal information. 

If any of the rights listed below are not provided to you under the law that governs the processing of your personal information, we have absolute discretion in providing you with those rights. Please refer to the “What Rights Apply” section to determine the rights you have in the jurisdiction you reside. Your rights in relation to your personal information are not absolute. Depending upon the applicable law, access to your rights under the applicable law may be denied: (i) when denial of the request is required or authorized by law; (ii) when granting the request would have a negative impact on another’s privacy; (iii) to protect our rights and properties; (iv) where the request is frivolous or vexatious, or for other reasons.

1. Right to Know/Access. You may have the right to obtain a copy, or a list of categories of the personal information that we hold about you, as well as other supplementary information. 

2. Right to Correct. You may have the right to rectify, correct or update any of your personal information held by us that is inaccurate. 

3. Right to Delete. Under certain circumstances, you may have the right to request that we delete the personal information that we hold about you. This right is not absolute, and we may refuse your right to delete if it is reasonably necessary for us to provide a service requested by you; to perform a contract between us; to maintain functionality and ensure security of our systems; to enable solely expected internal uses of your personal information; to exercise a right provided by law; to comply with a legal obligation, or if there are compelling legitimate grounds for keeping your personal information.

4. Right to Portability. Under certain circumstances, you may have the right to receive personal information we hold about you in a structured, commonly used, and machine-readable format so that you can provide that personal information to another entity.

5. Right Against Discrimination. You have the right not to be discriminated against for exercising any of the rights described in this section. We will not discriminate against you for exercising your privacy rights.

6. Right to Object to Automated Decision-Making. You may have the right not to be subject to a decision that is based solely on automated processing (where a decision is taken about you, using an electronic system without human involvement) which significantly impacts your rights. No decision will be made by us about you solely on the basis of automated decision making which has a significant impact on you.

7. Right to Opt-Out of Sale. You may have the right to opt-out of the sale of your personal information. Like many businesses, we use cookies, pixels, and similar technology on our Websites and Apps, and we share certain personal information, such as your email address, phone number, IP address or device identifiers, to third-party advertisers to improve your user experience and to optimize our marketing activities. Under the broad definition of “sell” contained in some jurisdictions’ privacy laws, this could be considered a sale. 

8. Right to Opt-Out of Sharing for Targeted Advertising. You may have the right to opt-out of the sharing of your personal information to third parties for behavioral or cross-contextual advertising purposes. Like many websites, we use cookies, pixels, and similar technology, and we share certain information, such as your email address, phone number, IP address or device identifiers, to certain third-party advertisers to improve your user experience and to optimize our marketing activities. You have the right to direct us not to share your personal information for targeted advertising purposes.

9. Right to Appeal. You may have the right to appeal if we refuse to take action on your rights request. Instructions on how to appeal will be provided to you upon such a denial, but in any event, such instructions will be substantially similar to those provided below for submitting requests. 

10. Right to Obtain Third-Party List. You may have the right to request a list of specific third parties to which we have disclosed personal information.

Submitting a Request to Exercise Your Privacy Rights

To assert your privacy rights noted above, please email us at help@goopkitchen.com, or use our Privacy Requests form here and indicate which rights you would like to exercise. 

Request Cadence: Please note that depending on your state of residence, applicable law may limit how many times per year you may submit a Right to Know/Access. We may charge a reasonable fee for multiple requests in the same 12-month period, as permitted by law. 

Identity Verification: To protect your privacy, we must be able to verify your identity to confirm that the request came from you before we can process your request to exercise certain privacy rights that you may be entitled to under the applicable law. We may contact you by phone or e-mail to verify your identity. Depending on your request, we will ask for information such as your name, address, an e-mail address or a phone number you have used with us. For certain requests, we may also ask you to provide details about your most recent purchases.

Authorized Agents: In certain states you may designate an authorized agent to submit a request on your behalf to access or delete your personal information. To do so, you must: (1) provide that authorized agent written and signed permission to submit such request; and (2) verify your own identity directly with us. Please note, we may deny a request from an authorized agent that does not submit proof that they have been authorized by you to act on your behalf.

Opt-Out of Cookie-Based Sales, Sharing and Targeted Advertising. You can exercise your right to opt-out of sales and targeted advertising by [clicking the "Your Privacy Choices" link in the website footer and following the directions in the Your Privacy Choices pop-up screen regarding how to opt-out of sales, sharing and targeted advertising.] If you previously opted-out and wish to opt-in, you can use the options identified above to change your preferences

If you are a resident of California, you may also opt-out of sharing and sales via cookies by using an opt-out preference signal. The Global Privacy Control (GPC) signal is currently the only opt-out preference signal we recognize. You can visit the GPC official site at https://globalprivacycontrol.org/#about to learn how to configure your device to send such signals. We will honor and process the opt-out preference signal in a frictionless manner. Your opt-out choice will only apply to your use of our Websites through the current browser or device you are using and only so long as that browser’s cookies are not erased. You will need to submit a separate opt-out of sharing request on each device and browser you use to visit our Websites to completely opt-out using this method.  Please note that after opting out of targeted advertising, you may still receive generalized ads.

7. SECURITY OF YOUR INFORMATION

We use technical, administrative, and physical safeguards to protect against the loss, unauthorized access, destruction, misuse, modification and improper disclosure of your personal information. Unfortunately, no system is 100% secure, and we cannot guarantee the security of our databases or the databases of the third parties with which we may share such information, nor can we guarantee that the information you supply will not be intercepted while being transmitted over the internet. If you feel that the security of any account you might have with us has been compromised, you should contact us immediately at contact us as set forth in “Contact Us” below. To the fullest extent permitted by applicable law, we do not accept liability for unauthorized disclosure.

By using our Services or providing personal information to us, you agree that we may communicate with you electronically regarding security, privacy, and administrative issues relating to your use of our Services. If we learn of a security system’s breach, we may attempt to notify you electronically by posting a notice on our Services, by mail or by sending an email to you.

8. RETENTION OF PERSONAL INFORMATION 

We store the personal information we collect as described in this Privacy Policy for as long as you use our Services or as necessary to fulfill the purpose(s) for which it was collected, provide our Services, resolve disputes, establish legal defenses, conduct audits, pursue legitimate business purposes, enforce our agreements, and comply with applicable laws. If you wish to cancel your account or request that we no longer use your personal information to provide you services, please contact us as set forth in “Contact Us” below. Please note that, we may still retain and use your personal information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

9. SUPPLEMENTAL NOTICE AT COLLECTION FOR CALIFORNIA RESIDENTS

This Supplemental California Privacy Notice At Collection only applies to our processing of personal information that is subject to the California Consumer Privacy Act of 2018, as amended (“CCPA”). If you are a California resident, then this Notice at Collection applies to you in accordance with CCPA requirements.

Categories of Personal Information Collected, Disclosed and Categories of Recipients

Depending how you interact with our Services, the chart below describes the categories of personal information (as the CCPA defines that term) collected, and the parties to whom the information was disclosed for business purpose for the preceding 12 months.

The categories of sources from which we collect personal information and our business and commercial purposes for using personal information are set forth in “Personal Information We Collect” and “How We Use Your Personal Information” above, respectively. 

Refer-a-Friend and Similar Incentive Programs. As described above in How We Use Your Personal Information (“Share Content with Friends or Colleagues”), we may offer referral programs or other incentivized data collection programs. For example, we may offer incentives to you such as discounts or promotional items or credit in connection with these programs, wherein you provide your personal information in exchange for a reward or provide personal information regarding your friends or colleagues (such as their email address) and receive rewards when they sign up to use our Services. (The referred party may also receive rewards for signing up via your referral.) These programs are entirely voluntary and allow us to grow our business and provide additional benefits to you. The value of your data to us depends on how you ultimately use our Services, whereas the value of the referred party’s data to us depends on whether the referred party ultimately becomes a customer and uses our Services. Said value will be reflected in the incentive offered in connection with each program.

“Shine the Light” Law.  Residents of the State of California may ask us to provide them with a list of the types of personal information that we have disclosed during the preceding year to third parties for their direct marketing purposes, and the identity of those third parties.
